1. Terms used and general provisions
1.1. Terms used in this contract:
- Distance contract: this contract concluded between the Seller and the Buyer for the purchase of Goods offered on the Website, the Parties not being physically present in the same place at the same time and using the Website as a means of distance communication, within the meaning of Section 10 of the Consumer Rights Protection Law.
- Order: an order placed and submitted by the Buyer on the Website for the purchase of one or more Goods offered on the Website. On the basis of the Order and the availability of the Goods concerned, the Seller prepares and sends the Buyer an Invoice.
- Purchase: Goods for which the Buyer has paid the amount stated in the Invoice in full.
- Goods: an artwork offered for sale on the Website, which is an original work.
- Invoice: a document prepared by the Seller and sent to the e-mail address given by the Buyer, stating information about the Order, the amount payable, the payment deadline and other information related to the Buyer, the Seller and the Order. Sending the Invoice to the Buyer confirms that the Goods concerned are reserved until the end of the payment deadline stated in the Invoice.
- Website: the website lieneesenvalde.com maintained by the Seller, on which the Seller offers Goods for sale and provides information about buying them.
- Withdrawal form: a form of the prescribed model which the Buyer may complete and submit to the Seller to exercise the right of withdrawal.
1.2. The Distance contract is binding on the Seller and on the Buyer who places an Order. By placing an Order, the Buyer confirms that before placing it they have read the terms of this Distance contract and the Privacy Policy, understand and accept them, and undertake to comply with them.
1.3. The Seller may unilaterally amend the terms of the Distance contract and the Privacy Policy. Amendments take effect when published on the Website, unless the amendments provide otherwise, and apply to Orders placed after they take effect. Before placing each Order, the Buyer can read the version of the Distance contract and the Privacy Policy published on the Website and in force at that moment. An Order is governed by the version of the Distance contract in force when the Order was placed.
2. Subject of the contract
2.1. The Distance contract sets out how the Buyer buys Goods offered for sale on the Website, and the Parties' rights, obligations and liability in connection with that purchase.
2.2. The Seller enables the Buyer to view the Goods offered for sale on the Website, read their descriptions, see their photographs and prices, and buy them in accordance with this contract.
2.3. If the Buyer wishes to see the Goods in person before buying, the Buyer may contact the Seller and agree on an individual viewing time. Viewing in person is possible only by prior arrangement with the Seller, at Cepļa iela 22B, Riga, LV-1004.
2.4. The description and essential characteristics of each Good, including the technique, dimensions, materials and other information, and its price are stated on the Website next to the Good.
3. Placing an Order
3.1. To buy Goods offered on the Website, the Buyer:
- selects the Goods and adds them to the shopping cart;
- reviews the contents of the cart and makes changes if needed;
- places the Order, giving the information needed to process and fulfil it: for a natural person, first name, surname, personal identity code, e-mail address, phone number, delivery address and declared residential address; for a legal person, name, registration number, VAT number (if any), registered address, e-mail address, phone number and delivery address;
- reviews the Order summary and the information entered, and confirms the Order.
3.2. The Buyer may place an Order without registering on the Website, giving the information needed for each Order when placing it.
3.3. After receiving an Order, the Seller checks the information given and the availability of the Goods concerned. If the Order can be fulfilled, the Seller sends an Order confirmation and an Invoice to the e-mail address given by the Buyer, together with, where necessary, information on how the Order will be fulfilled. If the Goods are not available or the Order cannot be fulfilled for another reason, the Seller informs the Buyer by e-mail to the address given in the Order.
3.4. An Order is considered placed when the Buyer has entered all the information required and confirmed the Order on the Website using the Order confirmation function “Apstiprināt” (“Confirm”).
3.5. An Order may also be placed by calling the Seller's phone number or through WhatsApp or Instagram, on working days from 9:00 to 18:00. As far as possible, the terms of the Distance contract also apply to Orders placed by phone or through those channels.
4. Payment
4.1. Prices on the Website are stated in euro (EUR).
4.2. The Seller may change prices on the Website without prior notice. If a price changes, the Goods are sold to the Buyer at the price in force when the Order was placed.
4.3. After receiving the Order and confirming the availability of the Goods, the Seller prepares an Invoice within 2 (two) working days and sends it to the e-mail address given in the Order. The Invoice is payable within 3 (three) days of being sent, unless the Invoice states otherwise.
4.4. The Invoice states the price of the Goods and, in the cases set out in the section “Delivery of Goods” of this contract, the delivery charge.
4.5. The Buyer pays for the Goods in advance, by bank transfer to the Seller's bank account stated in the Invoice. The Order or Invoice number must be given as the payment reference.
4.6. The Distance contract between the Parties is considered concluded, and fulfilment of the Order begins, when the Seller has received the amount stated in the Invoice in full.
4.7. If the Seller has not received the amount stated in the Invoice in full within the term set in this contract or in the Invoice, the Seller may cancel the Order and the reservation of the Goods concerned, informing the Buyer by e-mail to the address given in the Order.
5. Delivery of Goods
5.1. The Seller delivers Goods by courier. Delivery is provided by SIA “DPD Latvija”, registration number 40003393255, or another registered courier service provider.
5.2. The Seller delivers Goods within Latvia, Lithuania and Estonia. Goods may also be delivered to other countries by separate agreement with the Seller. In that case an additional delivery charge may apply, calculated individually according to the cost of delivery to the country given by the Buyer, and stated in the Invoice. The delivery time is counted from the day the Seller receives full payment of the amount stated in the Invoice.
5.3. Delivery within Riga takes up to 2 (two) working days; elsewhere in Latvia, and in Lithuania and Estonia, up to 4 (four) working days.
5.4. The Seller may extend the delivery time if circumstances beyond the Seller's control objectively affect the possibility or timing of delivery. If the Seller becomes aware of a delay, the Seller informs the Buyer using the contact details the Buyer gave.
5.5. Through the courier service provider, the Seller delivers the Goods to the delivery address given in the Order. The Buyer is responsible for giving a correct and complete delivery address and any other information needed for delivery in good time. The Buyer is also responsible for receiving the Goods at the agreed time and bears any additional costs if the Goods cannot be delivered to the address given or the Buyer cannot receive them at the agreed time.
5.6. Having assessed the size and characteristics of the Goods, the Seller may at its discretion choose the most suitable method of delivery: to a parcel locker (the one nearest to the address given by the Buyer) or by courier directly to the address given by the Buyer.
5.7. Goods are considered delivered when the Buyer, or a third party named by the Buyer other than the carrier, has received them.
5.8. Receipt of the Goods is confirmed:
- when received by courier: by the Buyer's signature on the courier's electronic terminal or the courier's record of delivery;
- when collected from a parcel locker: by the Buyer entering their personal code to take out the Goods;
- when received in person: by the Buyer showing the order number or payment information (an image) and confirming receipt of the Goods.
5.9. On receiving the Goods, the Buyer must check the condition of the packaging. If damage to the packaging is found at delivery, the Buyer, or a third party authorised by the Buyer to receive the Goods, must check the contents together with the courier and, if there is damage, ask the courier to draw up a damaged-shipment report and inform the Seller immediately. The recipient may hand the damaged shipment back to the courier or keep it if the damage is minor. If damage to the packaging is found when collecting the Goods from a parcel locker, the Buyer or the recipient authorised by the Buyer must immediately file a claim using the form on the parcel locker operator's website, and the Buyer must contact the Seller immediately.
6. Right of withdrawal
6.1. The right of withdrawal set out in this section applies to a Buyer who is a consumer within the meaning of the Consumer Rights Protection Law.
6.2. The Buyer has the right to exercise the right of withdrawal and withdraw from the Distance contract within 14 (fourteen) days.
6.3. To exercise the right of withdrawal, the Buyer must inform the Seller in writing of the decision to withdraw from the Distance contract before the withdrawal period ends, by sending a completed Withdrawal form or another unequivocal written statement of withdrawal to the Seller's e-mail address: liene.esenvalde@gmail.com.
6.4. The Buyer has exercised the right of withdrawal in time if the notice of withdrawal is sent to the Seller before the 14 (fourteen) day period ends. The period runs from the day on which the Buyer, or a third party named by the Buyer other than the carrier, acquires physical possession of the Goods, that is, from the day of delivery.
6.5. After sending the notice of withdrawal, the Buyer sends the Goods back to the Seller at the address given, or hands them over to the Seller in person at Cepļa iela 22B, Riga, LV-1004, without undue delay and in any event no later than 14 (fourteen) days after sending the notice.
6.6. Goods may be returned to the Seller through a parcel locker or by courier. The Buyer bears the direct cost of returning the Goods, according to the current price list of the courier chosen, available on that provider's website.
6.7. The Buyer is liable for any reduction in the value of the Goods if, during the withdrawal period, the Goods have been used or handled beyond what is necessary to examine them and establish their nature and characteristics, including their appearance, size, materials, technique and physical condition. The Seller may refuse to take the Goods back if they have been damaged or their condition has significantly deteriorated as a result of the Buyer's actions.
6.8. When sending the Goods back, the Buyer must pack them properly and securely so that, as far as reasonably possible, they are protected from damage in transit. The Goods must be undamaged and must not have lost their original appearance.
6.9. If the Buyer exercises the right of withdrawal, the Seller refunds all payments received from the Buyer, including the cost of the original delivery, if any, where the delivery used a registered courier service provider, no later than 14 (fourteen) days from the day the Seller is informed of the Buyer's decision to withdraw. The refund is made using the same means of payment the Buyer used for the original transaction, unless the Parties have agreed otherwise.
6.10. The Seller may withhold the refund of the amount paid for the Goods until the Seller has received the Goods back or the Buyer has supplied evidence of having sent them back, whichever is earlier.
6.11. The Withdrawal form is available here.
7. Conformity of the Goods with the contract
7.1. The Seller undertakes to ensure that the Goods conform to the Distance contract, to the description on the Website, and to the characteristics and quality the Buyer may reasonably expect, given the nature of the Goods and their intended purpose.
7.2. The Seller confirms that it does not sell Goods with defects known to it, unless the defect is clearly stated in the description of the Goods and the Buyer has accepted it before the Purchase.
7.3. The Goods conform to the description on the Website and are fit for their intended purpose: decorating interiors. The Goods are delivered with the stated accessories and with instructions for use and care, where such are provided for the Goods concerned.
7.4. If the Goods are damaged in transit or otherwise do not conform to the Distance contract, the Seller remedies the lack of conformity or exchanges the Goods free of charge in the cases provided by law. If the Goods do not suit the Buyer's planned interior and the Buyer wishes to exchange them for other Goods, the return and exchange follow the procedure for exercising the right of withdrawal set out in the Distance contract.
8. Copyright
8.1. Copyright in the Goods offered for sale on the Website, the artwork (original work), including any poetry contained in or accompanying it, including the author's moral and economic rights, belongs to the author of the work, Liene Ešenvalde.
8.2. The author's moral rights are inalienable and belong to the author regardless of the sale of the Goods. The author's economic rights belong to the author or the relevant successor in title, insofar as they have not been transferred to another person in accordance with the law.
8.3. By buying the Goods, the Buyer acquires ownership only of the specific physical artwork (original work). The purchase of the Goods does not in itself transfer to the Buyer the author's moral or economic rights in the artwork, nor grant a licence or any other right to use the work, unless the Parties have agreed otherwise separately in writing.
8.4. Without the prior written permission of the author or the relevant copyright holder, the Buyer may not reproduce, copy, adapt or otherwise use the artwork (original work) or the work contained in it, nor use images of the Goods or any part of them for commercial purposes, including making and distributing reproductions or using them in advertising or in the presentation of goods or services, except in the cases expressly provided by the Copyright Law.
8.5. All images of artworks or parts of them, reproductions, texts, poetry and other content on the website lieneesenvalde.com are protected by copyright and are the property of Liene Ešenvalde as the copyright holder. This content may not be copied, reproduced, published, distributed, adapted or otherwise used without the prior written permission of the copyright holder, including for commercial purposes.
8.6. Copyright and the use of works are governed by the Copyright Law of the Republic of Latvia and other applicable legislation. The Buyer undertakes to comply with the Copyright Law and other applicable legislation.
9. Liability of the Parties
9.1. The Parties are liable for the proper performance of their obligations under the Distance contract in accordance with the laws of the Republic of Latvia.
9.2. The Seller is not liable for a delay in, or failure of, the fulfilment of an Order caused by force majeure, or by the acts or omissions of third parties (for example, a courier service provider).
9.3. The Buyer is responsible for the accuracy and completeness of the information entered. If incorrect or incomplete information is entered, the Seller is not liable for non-performance or improper performance of the Order.
9.4. The Seller ensures that the Goods conform to the Distance contract and to the description on the Website. Images of Goods on the Website are for visual information and are intended to characterise the Goods. The Seller ensures that the images reflect the colour, shape and other essential characteristics of the Goods as accurately as possible and states dimensions as precisely as possible; however, because of screen settings, lighting and other objective circumstances, Goods shown in images on the Website may differ from the actual size, shape, colour and other parameters, and this is not considered a lack of conformity with the Distance contract.
10. Dispute resolution
10.1. If the Buyer finds that the delivered Goods do not conform to the Distance contract, and the Buyer is a consumer within the meaning of the Consumer Rights Protection Law, the Buyer may bring a claim against the Seller for lack of conformity within 2 (two) years of the day the Goods were received.
10.2. The Buyer may submit a claim to the Seller in writing in free form, by e-mail to liene.esenvalde@gmail.com or by post to Krišjāņa Valdemāra iela 17-15, Riga, LV-1010, Latvia. The claim states the Buyer's name and surname, contact details, the order number, a description of how exactly the Goods do not conform, and the remedy sought. Where possible, the Buyer also attaches photographs of the Goods.
10.3. The Seller examines the Buyer's claim and replies in accordance with the Consumer Rights Protection Law no later than 15 (fifteen) working days from the day the claim is received.
10.4. If a dispute cannot be resolved, the Buyer may turn to the Consumer Rights Protection Centre (www.ptac.gov.lv).
10.5. If a dispute cannot be resolved by negotiation or by out-of-court dispute resolution, the Parties may turn to the courts of the Republic of Latvia in accordance with the law.
10.6. The conclusion and performance of the Distance contract, and the legal relations arising from it, are governed by the laws of the Republic of Latvia.
11. Final provisions
11.1. This Distance contract is in force from the moment it is published on the Website.
11.2. Information on the processing of personal data, including its purposes, legal basis, categories of data, retention periods and the Buyer's rights as a data subject, is given in the Seller's Privacy Policy.
11.3. For a given Order, the Distance contract between the Seller and the Buyer is considered concluded when the Seller has received full payment of the amount stated in the Invoice, and remains in force until the Parties' obligations under it have been fully performed.
11.4. If any term of the Distance contract is found to be invalid or unenforceable, this does not affect the validity of the remaining terms.
